Experience in litigation in state administrative proceedings, arbitration, and in state and federal court on matters related to telecommunications, higher education, consumer protection, business divorces, financial institutions, restrictive covenants, and human resources issues. Significant experience drafting, negotiating and enforcing complex commercial agreements. COMMERCIAL LITIGATION experience in class action lawsuits, Attorney General investigations/litigation, overlapping regulatory and government investigations and individual matters alleging: - Causes of actions brought under state consumer protection acts, the federal False Claims Act and Consumer Finance Protection Act (Dodd-Frank Act); - Administrative proceedings and litigation involving state and federal equal opportunity employment acts and the Fair Labor Standards Act; - Litigated numerous cases involving non-compete and non-solicitation agreements; - Represented a financial institution in litigation brought by bank commercial customers involving account take overs; - Represented parties challenging insurance coverage; - Litigating and handling appeals of administrative proceedings involving regulation of telecommunications and electric companies, encompassing issues regarding prices, costs of service, alternative regulatory plans and competition. Also, extensive experience developing state and federal regulatory and legislative strategy for telecommunication companies. COMMERCIAL AGREEMENT negotiation, drafting and enforcement, including: master services agreements, restructuring agreements, NDAs, loan and financing agreements, professional service agreements, statements of work, executive employment contracts, licensing agreements, partnership/LLC/corporation formation and governance documents. CORPORATE TRANSACTIONS. As a general counsel, led negotiations on an IPO, multi-billion merger, numerous acquisitions and sales of businesses and financing agreements. While in private practice and acting as an outside GC, have quarterbacked several transactions on the buy and sell side. REPRESENTATION OF PRIVATELY HELD COMPANIES in connection with financing alternatives, including secured and unsecured credit facilities and debt or equity offerings. SEC filings and reporting. CANNABIS LAW - Have represented parties operating in the Colorado Cannabis industry in litigation and regulatory matters involving: - Represented a grower in resolving a licensing issue with the Colorado Cannabis Enforcement Division. Defense of the grower required review of corporate formation documents, lease, financing and transactional documents. - Represented a LLC member when the other two members attempted to expel him. - Represented a licensed party in litigation over a failed transaction. - Represented a CBD manufacturer in a business dispute involving breach of contract issues. - Advised a publicly traded cannabis entity on Colorado regulatory matters, including meeting with the MED on ownership and reporting issues.

Mediator Experience

Obtained mediation certificate from Northwestern University in 2022. Have completed pro bono mediations in Jefferson County (CO) small claims court and retained for private in a shareholder dispute.
