Forty years of experience advising major healthcare and non-healthcare companies. General Counsel for 12 years with Kaiser Permanente (KP), the largest nonprofit integrated health system in the U.S., with $90B in revenue, 12 million members, 225k employees, 22k physicians, 39 hospitals, and 700+ medical offices. Previously Assistant General Counsel for Kaiser Permanente for 11 years. Legal advisor to national leadership and Boards of Directors on a wide range of healthcare-related activities, including merger/acquisition, corporate restructuring, tax exemption, corporate governance, bond disclosures, compliance, contracting, and litigation. Oversaw KP’s role in the Kaiser Permanente Arbitration System, the largest mandatory arbitration program in the U.S. Oversaw litigation of all large cases, including business litigation, employment litigation, consumer class actions, plan v hospital litigation, labor litigation, and regulatory charges. Directly managed the largest litigation matters, involving damages of up to $2 billion. Extensive payor/provider contracting and litigation experience; knowledgeable about the full range of federal and California healthcare programs, including Medicare, Medicaid, FEHBP, 340B, and CHIP; and experienced with the laws protecting consumers and employees, including Title IV and state anti-discrimination statutes, ERISA, insurance bad faith law, and HIPAA and state data privacy statutes.
