Mediator of various business and ownership disputes. Settled a mediation in French. Advocate for a party in $5+ million executive / owner dispute (negotiated solution). Facilitator/Coach in role plays, NYS Bar Mediation Trainings. Successfully resolved dozens of disputes as to business ownership and governance, outsourcing services agreements, employee claims, incentive compensation, sales agency and distributorship agreements, etc.
Representative Issues Handled as a Mediator
Contracts, distribution/franchises, shareholder ownership, corporate governance, outsourcing, exits for co-owners, family business divorce, buy-sell agreements, business valuation; software development agreements.
Commercial relationships with conflicts of law where (1) there is no contractor, or (2) the contract fails to adopt a given applicable law (so there is a risk that more than one legal system could apply if adjudicated by arbitrator or judge).
Mediator Style & Process Preferences
Successful mediation requires party autonomy and openness to consider possible alternatives to worst-case and best-case outcomes within a zone of possible agreement. I am facilitative through active listening, reframing and open-ended questioning to explore possibly viable alternatives. I request pre-hearing calls with counsel and written summaries. Exceptionally, I might offer an evaluative proposal if both parties ask (not playing the mediator) and anchored gap is narrow. For multiparty disputes, I invite alignment by eliciting unique possibilities per each party’s unique assets, rights, duties, risks and alternatives.
